City of Rockford Community Action Agency Board met Feb. 27.
Here are the minutes provided by the board:
I. CALL TO ORDER

A quorum was not established. Information was presented but not voted on.

II. GENERAL INFORMATION
a. We need to appoint officers (vice chairperson and secretary) and board members to the executive committee. Officers and chairs of committees are automatically seated members of the Executive committee, but any board member can be appointed to the committee. So in March, we will need to vote as a board on officers and or appointments.
b. Executive Committee would need to vote to approve minutes from the last eight meetings.
c. Legislation is before the general assembly, to lower the minimum number of CAA board members from 15 to 9. The board would still need to be tri-partied.
d. The bylaws say that we only need to have a 1/3 of the board present to establish a Quorum, so last two board meetings we had a quorum.
e. The bylaws also say that we could have virtual meetings with members. Members would need to inform the Executive Director and Chair 24 hours in advance.
f. The executive board needs to look through the bylaws and see if there are any other changes
i. Karen Hoffman, need to enforce absentee board members removal.
g. Need to create an annual plan for Community Services.
h. Need to bring strategic planning to the Board.
i. Cancel meeting for March
i. Next meeting would be April 23, 2024

a. Approval of minutes is laid over until the March (April) meeting.
III. OFFICER REPORTS
a. Karen Hoffman: The American Association of University Women and League of Woman Voters are putting on “What's Happening at the Boarder Event” on Saturday, March 9th at 1 pm at 2nd/1st Congregational Church located at 318 N. Church Str., Rockford, IL.
